VUMC is seeking a healthcare attorney experienced in drafting and negotiating a variety of transactions and related agreements on behalf of VUMC and its affiliated organizations that relate to the hospitals, hospital and physician based clinics, and other ancillary operations both on and off-campus. This position will represent VUMC in a variety of transactions including purchasing contracts, professional services agreements, affiliations with other providers, real estate and equipment leasing arrangements and a wide variety of other transactions in which VUMC or its affiliated organizations may engage. Representation of VUMC affiliated companies in operational and corporate governance matters may also be included. This position will carry the title of Division Counsel and will work directly with VUMC and within the Office of Legal Affairs, reporting to a Managing Counsel and the VUMC General Counsel.
The candidate must possess a minimum of five (5) years' experience representing health care providers in a demonstrated variety of transactions, specifically including negotiating with vendors and other healthcare providers for both goods and services. The ideal candidate will have substantial experience in negotiating purchase agreements, professional services agreements and other agreements related to healthcare operations. Familiarity with fraud, waste and abuse (including anti-kickback, civil monetary penalty, Stark and similar regulations), HIPAA, and antitrust compliance is a prerequisite. The successful candidate will be a good negotiator with e xcellent oral and written communication skills and will have the ability to work independently within a dynamic, heavily regulated and fast paced environment. The ability to partner with a client to understand the client's needs and priorities and to develop practical solutions that are compliant with applicable legal concepts and regulations will be essential to success in this role. Excellent client management skills and the ability to prioritize competing demands and work within a team-oriented department will be necessary.
Negotiate and advise on legal aspects of contractual arrangements in a healthcare environment, with a focus on professional services, procurement and transaction documentation.
Contract form development, and contribute to the development and maintenance of general guidance and education on key contracting issues and alternative terms.
Assist in developing internal policies related to best practices for contract processing and maintenance.
Represent VUMC and its affiliated companies in transaction negotiations, including purchase and sale transactions and leasing arrangements.
Contribute to and support the efficient operation of the Office of Legal Affairs through active participation in department improvement projects.
Provide guidance and assistance to other colleagues in the Office of Legal Affairs in a highly collaborative and team oriented fashion.
JD degree from an ABA accredited law school.
Employment contingent upon registration and receipt of In-House Counsel Practice Certificate within three months of employment and State of Tennessee licensure within 12 months of employment.
Must have at least five (5) years of healthcare related experience.
